Terms and Conditions

Welcome to Lumina Memorials. These Terms and Conditions (“Terms”) govern the business-to-business (B2B) relationship between Lumina Memorials (“we,” “us,” or “Lumina”) and the funeral industry professionals or entities (“Client,” “you,” or “your”) using our platform at www.luminamemorials.com to create digital memory capsules.

By registering an account and purchasing credits, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

1. Company information

In compliance with applicable electronic commerce regulations, the platform www.luminamemorials.com and its associated services are owned and operated by:

2. Nature of the service

Lumina Memorials provides a white-label, cloud-based software solution designed to compile, render, and temporarily host digital video capsules (“Time Capsules”).

  • Purely digital service: Our services are strictly limited to the delivery of digital video files. We expressly exclude the provision of any physical materials, including, but not limited to, memorial plaques with QR codes, printed books, or any other tangible goods.
  • No perpetual hosting: Lumina Memorials does not offer or maintain static memorial webpages in perpetuity. The service is designed exclusively for the temporary hosting of the video capsule to allow for its download by the end-user (the family), as detailed in the Data Processing Agreement (DPA) attached to these Terms.

3. Credit system, expiration, and account termination

Our services operate on a pay-per-use model utilizing digital credits. One credit is required to generate one Time Capsule.

  • Credit expiration: All purchased credits have a strict validity period. Credits automatically expire eighteen (18) months from the exact date of purchase. Expired credits will be permanently removed from the Client’s balance.
  • Termination of relationship and non-refundability: The commercial relationship may be canceled or terminated at any time by either party. In the event of account closure, cancellation, or termination of the commercial relationship for any reason, the remaining balance of credits will not be refunded under any circumstances. Credits have no cash value outside of the Lumina Memorials ecosystem.

4. Pricing, taxes, and payment processing

  • Taxes: All prices listed on the Lumina Memorials platform are strictly base prices and do not include local taxes (such as VAT, Sales Tax, or other applicable regional taxes). Any applicable taxes will be calculated and added to the final total at checkout, depending on the Client’s billing location and tax status.
  • Payment gateway: All payments are processed securely through our authorized merchant of record, Lemon Squeezy (https://www.lemonsqueezy.com/). The accepted payment methods (e.g., credit cards, digital wallets) are those supported and authorized by the Lemon Squeezy platform at the time of purchase. Lumina Memorials does not collect or store full credit card numbers on its servers.

5. Client obligations and liability

As a B2B Client, you act as the Data Controller regarding the end-users (the families). You warrant that you have obtained all necessary and explicit consents from the families or legal heirs to collect, upload, and process their data and multimedia content through our platform. Lumina Memorials acts solely as a Data Processor.

Warranty of information and consent: The Client warrants that, throughout their contracting process and provision of service to families, they duly inform end users (families and guests) regarding the processing of their personal data and the role of Lumina Memorials as a Data Processor. The Client assumes full legal, civil, administrative, and financial responsibility for any sanctions, fines, or claims arising from a lack of information, lack of transparency, or the invalid or vitiated procurement of end-user consent, thereby indemnifying and holding Lumina Memorials harmless from any liability in this regard.

6. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Spain. Any disputes arising out of or relating to these Terms or the services provided shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.

Annex

Data Processing Agreement (DPA)

This Data Processing Agreement (hereinafter, the “DPA”) regulates the processing of personal data performed by Lumina Memorials (hereinafter, the “Data Processor” or “Lumina”) on behalf of the funeral sector Professional or Entity (hereinafter, the “Data Controller” or the “Client”) within the framework of the provision of the contracted services.

Both parties commit to complying with the provisions of Regulation (EU) 2016/679 of the European Parliament and of the Council (General Data Protection Regulation, GDPR) and the Spanish Organic Law 3/2018 on the Protection of Personal Data and Guarantee of Digital Rights (LOPDGDD).

1. Object and scope of application

The purpose of this DPA is to define the conditions under which Lumina will process personal data on behalf of the Client to enable the creation, management, and rendering of credit-based digital memory capsules (“Time Capsules”).

2. Roles and responsibilities

  • The Client (Data Controller): Guarantees that they possess the necessary legal basis (explicit consent from the relatives or legal heirs of the deceased) to input identifying data and authorize the collection of multimedia content on the platform.
  • Lumina (Data Processor): Will process the data solely and exclusively following the documented instructions of the Client arising from the use of the platform, and will not apply or use them for any purpose other than the generation of the digital file.

3. Sub-processors

The Data Controller grants general authorization to Lumina to subcontract the following technological infrastructure providers necessary for the provision of the service:

  • Amazon Web Services (AWS): Cloud infrastructure and data storage provider, with servers configured within the European Union.
  • Amazon Cloud Services: Computing and technological processing services used exclusively for the automated processing and rendering of the video capsules.

Any change of sub-processor involving an international transfer of data outside the European Economic Area will be carried out under legally provided safeguard mechanisms (such as the EU-U.S. Data Privacy Framework or Standard Contractual Clauses).

4. Operational security measures

Lumina guarantees the implementation of the following technical and organizational measures to safeguard the information:

  • Encryption in transit: All information and multimedia files entered travel through encrypted channels using standard security protocols (HTTPS/TLS).
  • Indexing exclusion: The temporary web pages generated for the collection of files or the viewing of the capsules are explicitly configured via technical directives (noindex, nofollow) to prevent their crawling or indexing by public search engines.
  • Logical isolation: The data and files of each Client are logically separated in the database to prevent unauthorized access between accounts.

5. Data destination and strict deletion (lifecycle)

  • Deletion timeframe: Once a memory capsule is activated, Lumina will keep the data and multimedia content accessible for a strict maximum period of thirty (30) calendar days.
  • Irreversible deletion: After said 30-day period, the system will automatically execute a process of definitive, irreversible, and complete deletion of all multimedia content (photographs, videos, audio files) and associated data on the AWS servers.
  • Absence of backups: Lumina will not retain backup copies, historical logs, or backups of the multimedia material once the established period has elapsed. It is the exclusive responsibility of the Client to advise the end-users (families) of the obligation to download the capsule before the deadline expires. Lumina is exempt from any liability regarding the inability to recover content following the execution of the automated deletion.

6. Exercise of rights

If a family member or interested third party exercises their rights of access, rectification, erasure, or objection before Lumina, Lumina will forward the request to the Client as soon as possible via the registered email address, so that the Client, in their capacity as Data Controller, may proceed to respond to the request.

Appendix I: Description of the processing

A. Categories of data subjects:

  • Deceased persons (whose civil rights regarding memory and dignity are exercised by their relatives pursuant to the LOPDGDD).
  • Contact relatives or administrators of the capsule.
  • Collaborating users who provide multimedia content.

B. Typology of processed personal data:

  1. Data provided by the funeral home (Client): First and last name of the deceased, date of death, and email address of the contact relative.
  2. Data provided by collaborators: Name or reference alias of the person making the contribution and their own multimedia content (photographs, videos, text dedications).
